GENERAL TERMS AND CONDITIONS OF SALE — SKY SATELLITES SYSTEM (SKYSAT)

PREAMBLE

SKY SATELLITES SYSTEM, a simplified joint-stock company with a capital of €8,000, registered with the Trade and Companies Register of Lorient under number 442 477 394, whose registered office is located at 6 Rue de l'Oppidum, Pa de Bosseno, 56340 Carnac (hereinafter « SKYSAT »), represented by Mr. Nicolas VERKANT as Managing Director, operates in the sale, design, installation, and maintenance of marine and maritime electronics equipment, as well as associated engineering services.

SKYSAT markets its products and services:

  • directly, as part of custom projects covered by quotes (design, installation, commissioning);
  • online via its website accessible at www.skysat.fr (hereinafter the « Site »), to Professional Clients and Consumer Clients in metropolitan France, overseas departments and regions, Europe, and internationally.

These General Terms and Conditions of Sale (hereinafter « GTC ») set out the rights and obligations of the parties in the context of the sale of Equipment, Digital Products, and Services offered by SKYSAT, whether the order is placed directly (on quote) or online (via the Site).

ARTICLE 1 — DEFINITIONS

In these GTC, the terms below have the following meanings:

  • « Client »: any natural or legal person placing an Order with SKYSAT, whether a Consumer Client or a Professional Client.
  • « Consumer Client »: any natural person acting for purposes outside their commercial, industrial, craft, liberal, or agricultural activity, within the meaning of the introductory article of the French Consumer Code.
  • « Professional Client »: any natural or legal person, public or private, acting for purposes within the scope of their commercial, industrial, craft, liberal, or agricultural activity, including when acting on behalf of another professional.
  • « Order »: any purchase of Equipment, Digital Products, and/or Services made by the Client, whether directly (based on a Quote) or online (via the Site).
  • « Quote »: a priced commercial proposal issued by SKYSAT based on the Specifications.
  • « Specifications »: a technical document defining the Client’s requirements and specifications for the desired Equipment and/or Services.
  • « Equipment »: all products, equipment, components, and accessories of marine and maritime electronics marketed by SKYSAT.
  • « Standard Equipment »: Equipment from the catalog sold as-is by SKYSAT.
  • « Custom Equipment »: Equipment designed, manufactured, and/or configured specifically to meet the Client’s Order, including custom-cut or crimped cables, terminals assembled to specific requirements, customized system configurations, and multi-equipment integrations.
  • « Digital Products »: digital content (software, licenses, digital mapping, firmware) and digital services (software subscriptions, updates) marketed by SKYSAT, including Adrena licenses, CZone software, C-MAP, Navionics, LightHouse Charts, or BlueChart g3 mapping, and firmware updates.
  • « Services »: services such as design, calculations, simulations, engineering, installation, commissioning, maintenance, repair, calibration, training, and/or technical support provided by SKYSAT.
  • « Site »: SKYSAT’s website accessible at www.skysat.fr and its subdomains.
  • « Pro Space » or « Skysat Pro Program »: a space reserved for Professional Clients approved by SKYSAT, accessible after registration and validation, offering preferential pricing and specific services.
  • « Delivery »: the actual handover of Equipment to the Client or carrier, or completion of installation and/or commissioning, or provision of Digital Products, according to the terms set out in the Quote or online Order.
  • « Regulated Products »: Equipment whose possession, installation, or use is subject to specific regulations (VHF radio transmitters, AIS transponders, EPIRB/PLB distress beacons, maritime safety equipment).
  • « Dangerous Goods »: Equipment classified as dangerous goods under ADR/IATA regulations, including lithium-ion batteries, lithium-polymer batteries, and fuel cells.
  • « Party(ies) »: SKYSAT and/or the Client.

ARTICLE 2 — PURPOSE AND SCOPE

2.1. These GTC apply to all sales of Equipment, Digital Products, and Services made by SKYSAT, whether the Order is placed directly (on Quote) or online (via the Site).

2.2. Any Order placed by the Client implies full, complete, and unreserved acceptance of these GTC, which take precedence over any other document from the Client, except for specific conditions expressly accepted by SKYSAT and specified in the Quote.

2.3. For Orders placed online, the Client acknowledges having read these GTC before validating their Order. Validation of the online Order constitutes acceptance of the GTC. The applicable GTC are those in force on the date of the Order.

2.4. SKYSAT reserves the right to modify these GTC at any time. Modified GTC apply to Orders placed after their publication on the Site. Previous GTC remain available upon request.

2.5. SKYSAT’s failure to enforce any provision of these GTC at any given time shall not be interpreted as a waiver of the right to enforce it subsequently.

2.6. The Site and services offered by SKYSAT are intended for adults (18 years or older) with full legal capacity. By placing an Order on the Site, the Client declares they are of legal age and have the legal capacity to enter into a contract. SKYSAT reserves the right to request proof of age from the Client at any time.


ARTICLE 3 — SPECIFICATIONS — QUOTE AND ORDER — MODIFICATIONS

The present article applies to Orders placed directly (on Quote). Orders placed online are governed by Article 4.

3.1. Before placing any Order, the Client must send SKYSAT the Specifications for the desired Equipment and/or Services, which will be the subject of exchanges between the parties to agree on the final Specifications (« Specifications »). The Client undertakes to provide SKYSAT with all relevant information in a timely and proactive manner, including, without limitation, use cases, objectives, technical constraints, budget, and/or schedule, to enable SKYSAT to define the Specifications as closely as possible to the Client’s expectations. Based on the Specifications, SKYSAT will prepare a Quote for Standard Equipment and/or Custom Equipment and/or Services for the Client. Any subsequent request for modification of the Specifications by the Client is subject to SKYSAT’s acceptance of such modifications at its sole discretion, and, if applicable, the Client’s acceptance of the revised Quote (« Revised Quote »).

3.2. The validity period of a Quote is stated in the Quote. If the Quote is not accepted within the stated period, or if no period is stated, within 30 (thirty) days of its issuance, the Quote shall lapse automatically, unless otherwise agreed between the Parties. An Order is deemed accepted by SKYSAT provided that (i) the Quote is signed by the Client, (ii) the deposit specified in the Quote is duly paid to SKYSAT, and (iii) SKYSAT issues an acknowledgment of receipt of the signed Quote and confirmation of the deposit payment. Unless a Client refuses an Order or SKYSAT fails to fulfill its contractual obligations, any deposit paid remains with SKYSAT. The specifications and technical performance of the Equipment are those set out in the Quote and/or Specifications and/or, where applicable, in the Equipment catalog.

3.3. Any termination by the Client of an accepted Order must be sent in writing to SKYSAT within a maximum of 8 (eight) days from the date of acceptance of the Order. However, no termination will be accepted by SKYSAT for accepted Orders of Custom Equipment or Standard Equipment not held in stock. Costs resulting from the cancellation of an accepted Order are the Client’s responsibility. Subject to SKYSAT’s acceptance, any modification of an Order will be subject to a Revised Quote duly signed by the Client, with payment of an additional deposit by the Client in the event of an increase in the initially agreed price.

3.4. Certain Equipment and Services offered by SKYSAT, due to their complexity, specificity, or value, are only available on quote and cannot be ordered online via the Site. These products are identified on the Site by the mention « Custom quote only » or « Contact us ». Examples include, without limitation: inertial navigation and gyrocompass systems (Exail), high-precision wind computers (Bravo Systems), hybrid propulsion systems (Integrel), complete electrical architectures, and any multi-equipment integration requiring prior study. For these products, the procedure in Article 3 applies in full.


ARTICLE 4 — ONLINE ORDER

The present article applies to Orders placed via the Site.

4.1. Online ordering process

Placing an online Order involves the following steps:

  1. Browsing the Site and selecting the desired Equipment, Digital Products, and/or Services;
  2. Adding products to the cart;
  3. Reviewing the cart contents, quantities, and prices;
  4. Identifying the Client (creating an account or logging into an existing account, or ordering as a guest);
  5. Choosing the delivery method and entering the delivery address;
  6. Reading and accepting these GTC by ticking the relevant box;
  7. Choosing the payment method and validating the payment;
  8. Confirming the Order with a second click (double-click system).

The Client may review the details of their Order and total price, and correct any errors, before confirming acceptance in accordance with Article 1127-2 of the French Civil Code.

4.2. Ordering Custom Equipment online

Certain Equipment can be customized online by the Client (choosing cable length, type of terminal or connector, system configuration, etc.). These customization options are offered directly on the product page on the Site. When the Client selects a customization option, the ordered Equipment becomes Custom Equipment within the meaning of these GTC. Before validating the Order, the Client is informed that:

  • the Equipment will be manufactured or assembled according to their specifications;
  • the right of withdrawal is excluded for this Equipment (Article 10.5);
  • the Equipment cannot be returned, exchanged, or refunded (Article 12.6).

The Client is responsible for carefully verifying the entered specifications (length, cross-section, connector type, polarity, etc.) before validation. SKYSAT cannot be held liable for errors in specifications attributable to the Client.

4.3. Order confirmation

After validating the Order and payment, SKYSAT sends the Client an order acknowledgment by email, summarizing the essential elements of the Order (products, quantity, price, delivery terms). This acknowledgment does not constitute acceptance of the Order by SKYSAT.

SKYSAT reserves the right to refuse or cancel any Order from a Client with whom there is an outstanding dispute regarding payment for a previous order, or in the event of suspected fraud, abnormal order, or bad faith.

In the event of a clear price error on the Site (a derisory or clearly incorrect price resulting from a technical bug, input error, or malfunction), SKYSAT reserves the right not to validate the Order and to inform the Client as soon as possible. The Client will be fully refunded for any amounts debited. SKYSAT will offer the Client the option to place a new Order at the corrected price.

4.4. Product availability

The offers for Equipment and Digital Products presented on the Site are valid as long as they are visible on the Site and within the limits of available stock. Delivery times are indicated on the product page for reference only. Some products may have extended lead times due to supply from the manufacturer; in this case, the mention « Extended lead time » or equivalent is displayed on the product page.

If a product becomes unavailable after the Order is placed, SKYSAT will inform the Client as soon as possible by email and offer the Client the choice of:

  • waiting for restocking with an estimated lead time;
  • delivery of a product of equivalent quality and price;
  • full refund of the price paid within 14 (fourteen) days from the date of notification of unavailability.

4.5. Product information

SKYSAT endeavors to present the essential characteristics of products on the Site as accurately as possible. Photographs, descriptions, and technical sheets illustrating products on the Site are not contractually binding. In the event of discrepancies between the information on the Site and that provided by the manufacturer, the manufacturer’s specifications prevail. All Equipment marketed by SKYSAT complies with applicable standards and regulations, including CE marking where required. In accordance with Article L111-4 of the French Consumer Code, the availability period for spare parts required for the use of Equipment is provided upon request to the customer service team (sav@skysat.fr).

4.6. Customer account

The Client may create a personal account on the Site to track their Orders, manage their personal information, and view their purchase history. The Client is responsible for the confidentiality of their login credentials and any activity carried out from their account. In the event of unauthorized use of their account, the Client must notify SKYSAT without delay at sav@skysat.fr.

4.7. Archiving

In accordance with Articles 1127-2 and 1375 of the French Civil Code, SKYSAT archives Orders and invoices on a reliable and durable medium. The Client may access them by contacting customer service.

4.8. Site availability

SKYSAT endeavors to ensure access to the Site 24 hours a day, 7 days a week. However, access to the Site may be temporarily interrupted for maintenance, updates, technical work, or force majeure, without this constituting grounds for liability on the part of SKYSAT or giving rise to any compensation. SKYSAT does not guarantee that the Site will be free of errors or bugs and will not be liable for any temporary malfunctions of the Site.

4.9. Convention of proof

SKYSAT’s computerized records, kept under reasonable security conditions, are considered proof of communications, Orders, payments, and transactions between the Parties, in accordance with Article 1366 of the French Civil Code. Orders and invoices are archived on a reliable and durable medium that can be produced as evidence.


ARTICLE 5 — PRICING — PAYMENT

5.1. Pricing

Orders on Quote: Subject to Article 5.2 below, Equipment and Services are supplied at the prices in force on the date of the Quote. Prices in the Quote are indicative and based on economic conditions existing at the date of the Quote. Prices exclude packaging, pickup from SKYSAT’s premises, and taxes; packaging and delivery costs to the Client are charged separately.

Online Orders: Prices for Equipment and Digital Products are displayed on the Site in euros. For Consumer Clients, prices are shown inclusive of all taxes (VAT), excluding delivery fees. For Professional Clients connected to Pro Space, prices are shown excluding taxes (VAT). Delivery fees are displayed before final validation of the Order. SKYSAT reserves the right to modify prices at any time. Equipment and Digital Products are invoiced at the price in force at the time of Order validation.

5.2. Price revisions — Orders on Quote

The present article applies exclusively to Orders on Quote. Prices for online Orders are firm and final at the time of Order validation (Article 5.1).

Prices may be revised by SKYSAT without notice until Delivery of the Equipment or completion of the Services, depending on changes since the date of the Quote in labor costs, raw material prices, and costs of equipment and services from SKYSAT’s suppliers and subcontractors.

5.3. Payment terms

Orders on Quote: Unless otherwise agreed, invoices are payable upon receipt without discount. If payment terms are granted and a payment is overdue, the remaining payments become immediately due without formal notice. In addition, any late payment will incur late payment penalties equal to three times the legal interest rate plus 3 percentage points, plus a flat-rate collection fee of €40 (Article L441-3 of the French Commercial Code). The Client may not defer or refuse payment of invoices on the grounds of any dispute, including an appeal under SKYSAT’s warranty.

Online Orders: Payment is due at the time of ordering. The Client may pay their Order using the following payment methods:

  • Credit card (Visa, Mastercard) via Shopify Payments or PayPlug;
  • PayPal;
  • Shop Pay;
  • Apple Pay;
  • Google Pay;
  • Installment payment via Oney (subject to acceptance by the credit institution, according to terms displayed on the Site);
  • Bank transfer (the order is shipped upon receipt of funds);
  • Check (the order is shipped upon receipt and clearance of the check).

Credit card payments are secured by SSL encryption protocol and 3D Secure authentication. Payment data is processed directly by payment service providers (Shopify Payments, PayPlug, PayPal) and is never stored by SKYSAT.

For payment by bank transfer or check, the Order is considered validated upon receipt of funds by SKYSAT. Delivery lead times begin from this date.

5.4. Default in payment

Professional Clients: In the event of total or partial default in payment for Equipment or Services by the due date, the Professional Client must pay SKYSAT, as of right and without prior formal notice, late payment penalties calculated on the basis of three times the legal interest rate in force plus 3 percentage points, plus a flat-rate collection fee of €40 in accordance with Article L441-3 of the French Commercial Code.

Consumer Clients: In the event of default in payment by the due date, and after a formal notice sent by email or registered letter with acknowledgment of receipt that remains unanswered, SKYSAT may apply late payment penalties at the legal interest rate in force.

SKYSAT also reserves the right to suspend or cancel any ongoing Order and/or delivery, without prejudice to any other recourse.

5.5. Invoicing

For online Orders, an invoice is sent to the Client by email after the Order is shipped. The Client may also download their invoices from their customer account on the Site.


ARTICLE 6 — DELIVERY CHARGES

6.1. Calculating delivery charges

Delivery charges are calculated based on the weight, volume, and destination of the ordered Equipment. They are communicated to the Client before validation of the online Order and appear on the Order summary.

6.2. Free delivery — Consumer Clients

For Consumer Clients, delivery is free for any Order amounting to €100 (one hundred) or more TTC in metropolitan France. This free delivery threshold may be modified by SKYSAT at any time without notice. The applicable threshold is that in force at the time of Order validation.

6.3. Delivery charges — Professional Clients

For Professional Clients, delivery charges are calculated based on weight, volume, and Order amount. Free delivery conditions, if applicable, are communicated within Pro Space or the Quote.

6.4. Supplement for heavy, bulky, or special transport products

Certain Equipment, due to their weight, size, or nature, may require a specific mode of transport (delivery on pallets, vehicle with tail lift, appointment scheduling, specialized transport). Examples include, without limitation: windlasses, bow thrusters, generators, desalination systems, large radar antennas, and rigid solar panels.

Specific delivery charges are indicated to the Client before Order validation. SKYSAT reserves the right to contact the Client to arrange delivery terms for these products (appointment scheduling, access to the delivery location, unloading equipment).

The Client is responsible for ensuring that the delivery location is accessible to the delivery vehicle and that they have the necessary unloading equipment. If delivery is impossible due to the Client’s actions (insufficient access, absence at the appointment), storage and representation fees are the Client’s responsibility.


ARTICLE 7 — DELIVERY AND RISKS

7.1. Delivery — General provisions

Delivery (« Delivery ») is deemed to have taken place:

  • (i) on the date of actual delivery of the Equipment to the Client according to the Quote in the case of Equipment sales without installation and/or commissioning on-site, or
  • (ii) on the date of completion of installation of the Equipment and/or commissioning, or
  • (iii) on the date of completion of the Services in accordance with the Quote, or
  • (iv) for online Orders, on the date of actual handover of the Equipment to the Client or carrier, or
  • (v) for Digital Products, on the date of provision of the download link, activation key, or service access.

Delivery is formalized by SKYSAT issuing a delivery note (« Delivery Note ») for Orders on Quote, or by sending a shipping notification by email for online Orders.

7.2. Transfer of risk

Orders on Quote: The Client assumes the risks and costs related to the Equipment from the date of the Delivery Note.

Online Orders — Consumer Clients: In accordance with Article L216-4 of the French Consumer Code, the transfer of risk occurs when the Consumer Client or a third party designated by them, other than the carrier, takes physical possession of the goods.

Online Orders — Professional Clients: The transfer of risk occurs upon handover of the Equipment to the first carrier, in France or internationally. Deliveries to Professional Clients are made under FCA (Free Carrier, Incoterms® 2020) terms — SKYSAT’s or the first carrier’s premises — unless otherwise stated in the Quote. Customs duties, import taxes, and customs formalities for deliveries outside the European Union are the Client’s sole responsibility.

7.3. Inspection upon receipt

The Client is required to verify the conformity of the Equipment with the Order and the absence of apparent defects upon receipt. Any non-conformity, apparent defect, or transport-related damage must be reported:

  • for Orders on Quote, within a maximum of 72 (seventy-two) hours from Delivery, in writing to SKYSAT or the carrier;
  • for online Orders, within a maximum of 72 (seventy-two) hours from receipt, in writing to sav@skysat.fr, accompanied by photographs of the package and the damaged product.

In addition, for deliveries handled by a carrier, the Client must make written, precise, and justified reservations to the carrier on the delivery note at the time of receipt. Failure to make reservations within the prescribed time limits means the Equipment is deemed to be in conformity with the Order and free of apparent defects.

7.4. Non-collection of Equipment

If the Client does not take possession of the Equipment at the location and on the date of Delivery, the Equipment is stored by SKYSAT at the Client’s expense and risk, with SKYSAT declining all responsibility in this regard.

7.5. Delivery lead times

Orders on Quote: Delivery lead times are indicative. Deliveries depend on Equipment availability and the order of receipt of Orders. Deliveries may be made in full or in part. Exceeding delivery lead times does not entitle the Client to cancel or modify the Order, reduce the price, or receive any compensation. The provisions of this paragraph do not prejudice the rights of the Consumer Client under Article L216-2 of the French Consumer Code.

Online Orders: Delivery lead times are indicated on the Site for reference only and vary depending on product availability and destination. They start from the date of payment confirmation. In the event of significant delivery delays, the Client will be informed by email. For in-stock products, lead times are typically 24 hours to 5 business days in metropolitan France. For products on order from the manufacturer, lead times can be up to 3 weeks or more.

In accordance with Article L216-2 of the French Consumer Code, if the delivery date is exceeded by more than 30 (thirty) days from the date indicated at the time of Order or, failing that, more than 30 (thirty) days after the conclusion of the contract, the Consumer Client may terminate the contract by registered letter with acknowledgment of receipt or in writing on another durable medium, after having instructed SKYSAT to deliver within a reasonable additional period, if this formal notice remains unanswered.

7.6. Delivery zones

SKYSAT delivers in metropolitan France, overseas departments and regions (DROM), the European Union, and internationally. Delivery conditions (carriers, lead times, charges) may vary depending on the destination. For deliveries outside the European Union, customs duties, local taxes, and any import fees are the Client’s sole responsibility. Certain Equipment (notably Dangerous Goods referred to in Article 16) may be subject to delivery restrictions in certain geographical areas or by certain carriers.

7.7. Carriers

Online Orders are shipped by one of the following carriers, chosen by the Client or SKYSAT depending on the nature and weight of the Equipment: DHL, France Alliance, Colissimo, Mondial Relay (pickup point). The choice of carrier may be limited depending on weight, dimensions, nature (Dangerous Goods), or destination of the package.

7.8. Provision of documents and information by the Client

Where part or all of SKYSAT’s services require the Client to provide documents and/or information at specific dates, such as, without limitation, plans, data, 3D models, geometric survey operations, 3D scans, or other, the Client undertakes to make every effort to meet these dates. If the Client fails to meet these dates, SKYSAT will not be bound by a Delivery date, which will be postponed by at least the delay caused by the Client’s failure to provide the documents and/or information.


ARTICLE 8 — PRELIMINARY TESTS OF EQUIPMENT

Subject to their inclusion in the Quote, preliminary tests of Equipment (« Tests ») assembled at SKYSAT are carried out at SKYSAT’s premises under the conditions set out in the Quote and result in the preparation of a report (« Test Report »). If the Client does not attend the Tests after being duly invited, SKYSAT will send the Client the Test Report, which will be deemed accepted by the Client. Any reservations regarding the conformity of the Equipment with the Specifications (« Reservations ») must be made at the latest during the Tests and recorded in the Test Report, with SKYSAT undertaking, if applicable, to make the necessary corrections as soon as possible. The Client will be invited by SKYSAT to new Tests as soon as SKYSAT has addressed the Reservations. The Client may not refuse to sign the Test Report unless the Tests reveal that the Equipment does not meet the Specifications, within the reasonable tolerances allowed by industry standards. In the absence of Reservations, if the Test Report is not signed by the Client, the Equipment is deemed to have been accepted by the Client on the date of the Test Report, and the corresponding payments are due.


ARTICLE 9 — INSTALLATION AND COMMISSIONING

Installation and/or commissioning of the Equipment is carried out at the location, vessel, or other specified by the Client in the Quote (« Installation Location » or « Location »). The Client provides SKYSAT with access to the Location, ensures it is in a state enabling SKYSAT to install and/or commission the Equipment, provides any necessary utilities, lifting and handling equipment where applicable, and is responsible for coordinating the services of third parties involved before, during, or after the commissioning of the Equipment. If commissioning cannot proceed for a reason not attributable to SKYSAT, notably if the Location is the subject of incomplete works preventing SKYSAT from installing and/or commissioning the Equipment, the Client may not modify or suspend their payment obligations to SKYSAT and bears all consequences of the delay. In this case, a new installation and/or commissioning date for the Equipment at the Location will be set by mutual agreement between the Parties, with the date depending on SKYSAT’s availability.

If the Location is modified after acceptance of the Quote by the Client, SKYSAT reserves the right to cancel the Order and retain the deposit paid, or, if applicable, prepare a Supplementary Quote to be signed by the Client. If the Client does not accept the Supplementary Quote, SKYSAT may cancel the Order while retaining the deposit paid.


ARTICLE 10 — RIGHT OF WITHDRAWAL

The present article applies exclusively to Consumer Clients for Orders placed online (distance selling).

10.1. Principle

In accordance with Articles L221-18 and following of the French Consumer Code, the Consumer Client has a 14 (fourteen) calendar day period from the physical receipt of the product (or the last product in the case of split delivery) to exercise their right of withdrawal, without having to justify their reasons or pay penalties.

For service contracts, the withdrawal period starts from the day the contract is concluded.

10.2. Exercising the right of withdrawal

To exercise their right of withdrawal, the Consumer Client must notify their decision by means of an unambiguous statement sent to:

The Client may use the withdrawal form in the Annex to these GTC, but this is not mandatory.

10.3. Returning products

The Consumer Client has a 14 (fourteen) day period from the date of notification of their withdrawal to return the products to SKYSAT. The products must be returned in their original packaging, complete (accessories, instructions, cables), in perfect condition, unused beyond what is necessary to check their nature, characteristics, and proper functioning.

The Client may return the products:

  • by generating and printing a prepaid return label from their customer account on the Site (return charges deducted from the refund);
  • by shipping the products themselves to the address provided by customer service.

Return charges are the Consumer Client’s responsibility.

SKYSAT strongly recommends the Client to:

  • use suitable and sufficiently protective packaging (if the original packaging cannot be reused, use a rigid cardboard box with appropriate cushioning);
  • specifically protect screens, optics, and fragile components with bubble wrap or foam;
  • ship the package using tracked or registered mail;
  • keep proof of shipping and the tracking number;
  • for batteries and Dangerous Goods: comply with applicable transport rules (Article 16).

SKYSAT cannot be held liable for damage occurring during return transport due to insufficient packaging.

10.4. Refund

SKYSAT will refund the Consumer Client the full amount paid (product price and initial delivery charges, based on the least expensive standard delivery method) within 14 (fourteen) days from the date of receipt of the returned products or proof of their dispatch by the Client, whichever is earlier.

The refund is made using the same payment method as the Order, unless the Client expressly agrees to another method. No fees are charged to the Client for the refund.

SKYSAT may delay the refund until the returned products are received or until the Client provides proof of dispatch, whichever is earlier.

If the product has been depreciated due to handling beyond that necessary to check its nature, characteristics, and proper functioning, SKYSAT reserves the right to deduct an amount corresponding to the loss in value of the product from the refund.

10.5. Exclusions from the right of withdrawal

In accordance with Article L221-28 of the French Consumer Code, the right of withdrawal cannot be exercised for:

  1. Custom Equipment manufactured according to the Client’s specifications or significantly personalized, including:
    • custom-cut or crimped cables (custom length, specific connectors);
    • terminals assembled to specific requirements;
    • custom-configured systems (electrical architectures, CZone configurations, integrated navigation systems);
    • any multi-equipment integration made to the Client’s specifications.
  2. Digital Products (digital content) supplied on an intangible medium where execution has begun with the Client’s prior express consent and the Client’s express waiver of their right of withdrawal, including:
    • activated software licenses (Adrena, CZone, navigation software, routing, etc.);
    • digital mapping whose activation code has been used (C-MAP, Navionics, LightHouse Charts, BlueChart g3, etc.);
    • downloaded firmware updates.
  3. Sealed goods that cannot be returned for reasons of health or hygiene protection and have been unsealed by the Client after delivery;
  4. Goods that, after delivery and by their nature, are inseparably mixed with other items (soldered, glued, or permanently installed components);
  5. Services fully performed before the end of the withdrawal period and whose performance began with the Client’s prior express consent and the Client’s express waiver of their right of withdrawal (calibrations, training, installation services);
  6. Goods likely to deteriorate or perish quickly;
  7. Audio or video recordings or computer software when unsealed by the Client after delivery.

The Consumer Client is informed of these exclusions before validating their Order on the Site.


ARTICLE 11 — RESERVATION OF TITLE

11.1. Transfer of title to the Equipment is conditional upon full payment of the principal and accessories. Payments are deemed to have been made upon their actual receipt by SKYSAT. If SKYSAT reclaims title to the Equipment, the Client is liable for the costs, notably dismantling fees. For Professional Clients, an obsolescence allowance equal to 5% of the Equipment price per month of possession by the Client is payable by the Client.

11.2. Until payment is received by SKYSAT, the Client must keep the Equipment separate, insure it for its replacement value, and designate SKYSAT as the first beneficiary of any indemnities paid for loss, theft, damage, or destruction of the Equipment.

11.3. Failure to pay an installment of the price means the full price becomes immediately due without delay, without prejudice to SKYSAT’s right to terminate the sale of the Equipment after a formal notice of payment remains unanswered. The deposit is then retained by SKYSAT as liquidated damages without offsetting accrued and due interest on the amounts owed.

11.4. The Client must pay the balance of the price before modifying or transforming the Equipment, unless SKYSAT agrees to a pledge, in favor of SKYSAT, of the goods resulting from the transformation or modification of the Equipment, as security for SKYSAT’s claim. The Client is liable for the costs of this pledge.


ARTICLE 12 — CONTRACTUAL WARRANTY — LIABILITY

12.1. Contractual warranty

Equipment is warranted against material or manufacturing defects for 12 (twelve) months from the date of Delivery (« Warranty Period »), unless otherwise agreed between the parties. For components supplied by third-party manufacturers (« Third-Party Manufacturers »), the contractual warranty is that of the Third-Party Manufacturers of the components, mutatis mutandis.

12.2. Manufacturer’s warranty

For Standard Equipment resold by SKYSAT and manufactured by Third-Party Manufacturers (hereinafter « Manufacturers »), the commercial warranty of the Manufacturer applies in addition to SKYSAT’s contractual warranty, according to the conditions specific to each Manufacturer (duration, scope, exclusions). SKYSAT acts as an intermediary for the implementation of the manufacturer’s warranty and assists the Client in their dealings. The warranty conditions of each Manufacturer are available upon request from SKYSAT or directly on the Manufacturer’s website. The manufacturer’s warranty does not replace the legal warranties to which the Consumer Client is entitled.

12.2bis. Commercial warranty deed (Article L217-15 of the French Consumer Code)

In accordance with Article L217-15 of the French Consumer Code, the commercial warranty provided for in Article 12.1 is the subject of this warranty deed, which specifies:

  • Warrantor: SKY SATELLITES SYSTEM (SKYSAT), SAS with a capital of €8,000, 6 Rue de l'Oppidum, Pa de Bosseno, 56340 Carnac — sav@skysat.fr — +33 2 97 52 14 52;
  • Duration: 12 (twelve) months from the date of Delivery, unless otherwise specified in the Quote or invoice;
  • Territorial scope: Metropolitan France. Outside metropolitan France, costs related to warranty services (excluding spare parts) are the Client’s responsibility (Article 12.7);
  • Scope: repair or replacement of Equipment or components recognized as defective by SKYSAT, excluding any other compensation;
  • Implementation: the Client contacts customer service (sav@skysat.fr) indicating the Order number, description of the defect, and, if applicable, photographs. For online Orders, an RMA number is assigned (Article 12.6);
  • Exclusions: cases referred to in Articles 12.4 and 12.5 of these GTC.

The commercial warranty does not deprive the Consumer Client of their rights under the legal warranties of conformity (Article 13.1) and hidden defects (Article 13.2), which apply independently and without condition.

12.3. Conditions for exercising the contractual warranty

For Professional Clients, this warranty may only be invoked by the Client if they are up to date with their payment obligations. For Consumer Clients, this commercial warranty applies regardless of the payment status, without prejudice to the legal warranties that apply by law. Under this warranty, SKYSAT’s sole obligation, to the exclusion of any other, is the repair or replacement of Equipment or components recognized as defective by SKYSAT and/or Third-Party Manufacturers. Repair or replacement of Equipment during the Warranty Period does not extend the Warranty Period. SKYSAT’s liability is excluded for any disorders caused by oil leaks, etc. not attributable to intrinsic defects in the Equipment or due to improper use of fluids or unsuitable fluids. No disorder occurring on any machine or equipment equipped with Equipment may be attributed to SKYSAT, unless the sole cause of the disorder stems from a defect in the Equipment covered by this warranty.

12.4. Warranty exclusions

This warranty is expressly excluded and SKYSAT’s liability cannot be engaged in the event of (i) apparent defects not reported under the conditions set out in Article 7.3 above, (ii) changes or repairs to the Equipment by third parties or the Client without SKYSAT’s prior written consent, (iii) replacement of Equipment parts with parts not supplied by SKYSAT, (iv) use of the Equipment not in accordance with the specifications, (v) failure to maintain and repair the Equipment, (vi) damage resulting from exposure to an environment not compliant with the Manufacturer’s specifications (humidity, salinity, temperature, vibrations), and (vii) damage resulting from overvoltage, lightning, or non-compliant power supply.

12.5. Client Equipment

SKYSAT’s warranty and liability are expressly excluded for any equipment of any kind supplied by the Client (« Client Equipment ») for installation on the Equipment, and SKYSAT reserves the right to make any reservations it deems necessary regarding the Client Equipment, and, if applicable, to refuse to install the Client Equipment or exclude any warranty from SKYSAT on the Equipment on which the Client Equipment has been installed.

12.6. Returning Equipment

Return of Equipment is subject to SKYSAT’s prior written approval. If returned, SKYSAT may either replace or repair the Equipment or credit the Client for the price of the returned Equipment. Returned Equipment must be in perfect condition, otherwise it will be refused. The Client may not invoke a return to interrupt their payments to SKYSAT and/or cancel all or part of an ongoing Order and/or claim damages. Custom Equipment and/or Equipment manufactured to the Client’s designs is neither accepted for return nor exchange.

After-sales service return procedure (Online Orders):

  1. The Client contacts customer service at sav@skysat.fr or +33 2 97 52 14 52 to obtain a return number (RMA — Return Merchandise Authorization);
  2. The Client carefully packs the product in suitable packaging (original packaging or equivalent, appropriate cushioning to prevent damage during transport) — special attention must be paid to screens, optics, and sensitive electronic components;
  3. The Client may either generate a prepaid return label from the Site (return charges billed to the Client) or ship the package themselves using tracked mail;
  4. The RMA number must be clearly visible on the outside of the package;
  5. Any Equipment returned without an RMA number or in insufficient packaging may be refused;
  6. For batteries and Dangerous Goods: the return must comply with applicable transport rules (Article 16).

12.7. Warranty costs outside metropolitan France

Costs related to services performed by SKYSAT under this warranty outside metropolitan France, except for the cost of spare parts, are the Client’s responsibility.

12.8. Limitation of damages

It is expressly agreed that this warranty does not cover direct or indirect consequences resulting from disorders, apparent or hidden defects, malfunction, or failure of the Equipment, and notably all indirect and/or intangible damages, such as, without limitation, commercial loss, damage to brand image, financial losses, or amounts charged to the Client in the context of a procedure brought against them by a third party.

12.9. Limitation of liability

SKYSAT’s liability is strictly limited to the obligations defined in the GTC. If SKYSAT is held liable for any damage excluded or not covered by this warranty, including, without limitation, damage to one or more of the Client’s assets directly or indirectly related to the Equipment installed or Services performed by SKYSAT, any compensation cannot in any case exceed the amount received by SKYSAT from the Client in the year the damage occurred and related to the Equipment in question under the Quote or online Order (« Compensation Limit »). To this end, the Client expressly and irrevocably waives all recourse against SKYSAT for any amount exceeding the Compensation Limit.

The limitation and exclusion clauses in this article do not apply in the event of personal injury or gross negligence or willful misconduct by SKYSAT. They do not prejudice the rights to which the Consumer Client is entitled under the legal warranties.

12.10. Diagrams and studies

Diagrams such as, without limitation, hydraulic, electrical, and mechanical diagrams, and equipment studies are provided by SKYSAT as suggestions and are based on data provided by the Client or third parties designated by the Client. The Client is solely responsible for verifying and confirming that the diagrams meet the requirements of the intended application.

12.11. Testing outside SKYSAT’s premises

Testing, adjustments, and fine-tuning of Equipment outside SKYSAT’s premises are carried out under the Client’s responsibility, even if SKYSAT provides technical support.


ARTICLE 13 — LEGAL WARRANTIES

The present article applies to the benefit of Consumer Clients, in addition to the contractual warranty in Article 12. Legal warranties apply independently of the contractual warranty and the manufacturer’s warranty.

Legal warranty of conformity:

2. Repair/replacement occurs after 30 days
3. It causes major inconvenience (recovery, removal, installation costs)
4. The non-conformity persists despite attempts to correct it

Serious defect
The consumer is immediately entitled to a price reduction or termination if the defect is so serious as to justify it
No need to request repair or replacement first

Specific cases
Impossible to bring into conformity: the consumer is not required to request repair/replacement

Warranty suspension
Any period of immobilization of the goods suspends the warranty until it is delivered in working order

13.1. Legal warranty of conformity

In accordance with Articles L217-3 and following of the French Consumer Code, SKYSAT is required to deliver goods that conform to the contract and is liable for any non-conformity existing at the time of delivery.

The Consumer Client has a 2 (two) year period from delivery of the goods to take action under the legal warranty of conformity. During this 2-year period, the Consumer Client does not have to prove the existence of a non-conformity: any non-conformity appearing within this period is presumed to have existed at the time of delivery, unless proven otherwise (Article L217-7 of the French Consumer Code).

In the event of non-conformity, the Consumer Client is entitled to repair or replacement of the goods, at their choice, subject to the cost conditions provided for in Article L217-12 of the French Consumer Code. SKYSAT may not proceed according to the Consumer Client’s choice if this choice entails a cost manifestly disproportionate to the other option.

If repair or replacement is impossible, the Consumer Client may return the goods and receive a refund of the price paid, or keep the goods and receive a partial refund, in accordance with Article L217-14 of the French Consumer Code.

The legal warranty of conformity applies independently of any commercial warranty granted.

Article L217-3 of the French Consumer Code: « The seller delivers goods that conform to the contract and to the criteria set out in Article L. 217-5. The seller is liable for any non-conformity existing at the time of delivery of the goods within the meaning of Article L. 216-1, which appears within a period of two years from delivery. In the case of a sales contract for goods including digital elements: 1° If the contract provides for the continuous supply of digital content or a digital service for a period of less than or equal to two years, or if the contract does not specify the supply period, the seller is liable for any non-conformity of this digital content or digital service that appears within a period of two years from delivery of the goods; 2° If the contract provides for the continuous supply of digital content or a digital service for a period of more than two years, the seller is liable for any non-conformity of this digital content or digital service that appears during the period in which it is supplied under the contract. »

Article L217-4 of the French Consumer Code: « The goods conform to the contract if they meet the following criteria, where applicable: 1° They correspond to the description, type, quantity, and quality, notably in terms of functionality, compatibility, interoperability, or any other characteristic provided for in the contract; 2° They are suitable for any special use sought by the consumer, communicated to the seller at the latest at the time of conclusion of the contract and accepted by the seller; 3° They are delivered with all accessories and installation instructions that must be provided in accordance with the contract; 4° They are updated in accordance with the contract. »

13.2. Legal warranty of hidden defects

In accordance with Articles 1641 to 1649 of the French Civil Code, SKYSAT is liable for hidden defects in the sold goods that render them unfit for their intended use or significantly diminish their usability, such that the buyer would not have purchased them or would have paid a lower price had they known of the defects.

The action resulting from hidden defects must be brought by the buyer within a 2 (two) year period from discovery of the defect (Article 1648 paragraph 1 of the French Civil Code).

The Client who takes action under the warranty of hidden defects may choose between termination of the sale or a reduction in the sale price in accordance with Article 1644 of the French Civil Code.

Article 1641 of the French Civil Code: « The seller is liable for hidden defects in the sold goods that render them unfit for their intended use or significantly diminish their usability, such that the buyer would not have purchased them or would have paid a lower price had they known of the defects. »

Article 1648 paragraph 1 of the French Civil Code: « The action resulting from hidden defects must be brought by the buyer within a period of two years from discovery of the defect. »

13.3. Legal warranty of conformity for digital content and services

For Digital Products (digital content and services within the meaning of Directive 2019/770 transposed into Articles L224-25-12 and following of the French Consumer Code), SKYSAT is required to provide digital content or a service that conforms to the contract and to the objective conformity criteria defined by law.

The Consumer Client has a 2 (two) year period from the provision of the digital content or service to take action under the warranty of conformity. For digital services provided continuously, the warranty applies for the entire duration of supply.


ARTICLE 14 — REPAIRS

Repair work only begins after written acceptance of the Quote by the Client. If the Quote is not accepted by the Client within the stated period, or if no period is stated, within one (1) month of sending, the costs of dismantling, storage, and inspection are the Client’s responsibility. The goods are returned automatically at the Client’s expense before or after reassembly. If the Client requests repair work before a Quote is prepared, the repair work is carried out as soon as possible and the Client undertakes to accept the price determined by SKYSAT. Repaired parts are warranted for a period of three (3) months from the date of replacement or repair. Equipment subject to a Quote that remains unanswered after three (3) months will be returned to the Client at their expense or scrapped.


ARTICLE 15 — CLIENT EQUIPMENT HANDLED

SKYSAT is insured for civil liability. It declines all liability for any damage to Client Equipment handled during the performance of its Services and/or installation of Equipment. If the value of the Client Equipment or its subsequent use so requires, the Client undertakes to take out insurance covering loss, damage, or theft, or to request SKYSAT to take out insurance as defined by the Client. The cost of this insurance will be billed to the Client. The Client assumes full responsibility for any damage caused to Client Equipment due to insufficient or incorrect information provided.


ARTICLE 16 — REGULATED PRODUCTS, DANGEROUS GOODS, AND COMPLIANCE

16.1. Regulated Products — Client’s obligations

Certain Equipment marketed by SKYSAT is subject to specific regulations, the compliance with which is the Client’s responsibility. The Client acknowledges being informed that:

a) VHF radio transmitters (fixed and portable): the use of a marine VHF radio transmitter requires possession of a ship station license issued by the French National Frequency Agency (ANFR) and, for the operator, a Restricted Radiotelephone Operator Certificate (CRR) or equivalent. SKYSAT cannot be held liable for the use of a VHF transmitter without the required authorizations.

b) AIS transponders (Class A and Class B): installation and activation of an AIS transponder requires assignment of an MMSI (Maritime Mobile Service Identity) number from the ANFR. The Client is solely responsible for obtaining and correctly programming their MMSI.

c) Distress beacons (EPIRB, PLB): distress beacons must be registered with the French Maritime Rescue Coordination Center (CROSS) / COSPAS-SARSAT system. Registration is free and mandatory. The Client is solely responsible for registering their beacon and updating their coordinates.

d) Marine safety equipment: certain safety equipment (navigation lights, pyrotechnic devices, etc.) must comply with the requirements of Division 240 or the regulations applicable to the type of vessel. The Client is responsible for ensuring that the equipment ordered complies with the regulations applicable to their vessel and their area of navigation.

SKYSAT endeavors to provide useful information on regulatory obligations on product pages on the Site, but cannot substitute itself for the Client in fulfilling their administrative and regulatory obligations.

16.2. Dangerous Goods — Batteries and accumulators

SKYSAT markets batteries and accumulators, including lithium-ion and lithium-polymer batteries (Victron Energy, Mastervolt, MG Energy, etc.), classified as Dangerous Goods under ADR (road transport) and IATA (air transport) under UN numbers 3480, 3481, and 3090.

The Client is informed that:

  • transport of lithium batteries is subject to regulatory restrictions that may limit available carriers and delivery methods;
  • certain destinations (notably DROM, islands, and certain countries) may be excluded from lithium battery delivery due to carrier restrictions;
  • additional transport charges may apply due to regulatory packaging and labeling requirements;
  • in the event of return (withdrawal, after-sales service, warranty), the Client must comply with Dangerous Goods transport rules: original or equivalent certified packaging, protection of terminals against short circuits (insulating tape, caps), prohibition on returning damaged, swollen, or shock-damaged batteries without SKYSAT’s prior agreement.

16.3. Fuel cells and fuels

Fuel cells (e.g., EFOY) and their fuel cartridges (methanol) are classified as Dangerous Goods. The same restrictions as those referred to in Article 16.2 apply. Fuel cartridges may only be shipped by land within the limits authorized by the regulations.

16.4. Product compliance

All new Equipment marketed by SKYSAT complies with applicable European standards and regulations, including:

  • CE marking where required;
  • Directive 2014/53/EU (RED) for radio equipment (VHF, AIS, radar);
  • Directive 2014/90/EU (MED — Marine Equipment Directive) for regulatory marine equipment, where applicable;
  • Regulation (EU) 2023/1542 on batteries and battery waste.

SKYSAT provides, upon request, the manufacturers’ declarations of conformity.

16.5. WEEE eco-participation fee (Waste Electrical and Electronic Equipment)

In accordance with Directive 2012/19/EU and Articles R543-172 and following of the French Environmental Code, the prices of Equipment constituting electrical and electronic equipment include the eco-participation fee intended to finance the collection and recycling of end-of-life equipment. The amount of the eco-participation fee is indicated on the product page and/or invoice where required by law.

The Client is informed that they must not dispose of used electrical and electronic equipment with unsorted household waste. They may deposit it free of charge at collection points (recycling centers, collection points in stores). The crossed-out wheeled bin symbol on the products reminds them of this obligation.

16.6. Take-back of used batteries and accumulators

In accordance with Regulation (EU) 2023/1542 on batteries and battery waste, and Articles R543-128-3 and following of the French Environmental Code, SKYSAT takes back used batteries and accumulators of the same type as those it distributes, free of charge and without obligation to purchase a new battery.

The Client may return their used batteries:

  • by depositing them at SKYSAT’s premises (6 Rue de l'Oppidum, Pa de Bosseno, 56340 Carnac);
  • by handing them over to the carrier when a new battery is delivered, after prior agreement with customer service;
  • by depositing them at an approved collection point.

Used batteries must be returned with terminals protected against short circuits (insulating tape, caps). Damaged, swollen, or deteriorated batteries must be reported to customer service prior to return.

16.7. Obligation of compliant use

The Client undertakes to use the Equipment in accordance with its intended purpose, the Manufacturer’s specifications, the installation and use instructions provided, and applicable regulations. Use of Equipment in conditions not compliant with its intended purpose or the Manufacturer’s specifications excludes any liability and warranty from SKYSAT.


ARTICLE 17 — DIGITAL PRODUCTS AND CONTENT — SUBSCRIPTIONS

17.1. Software licenses and digital content

SKYSAT markets Digital Products including notably:

  • software licenses (Adrena for routing and polar diagrams, CZone for electrical management and digital switching, navigation software, etc.);
  • digital mapping (C-MAP, Navionics, LightHouse Charts, BlueChart g3) in the form of activation codes, SD/microSD cards, or downloads;
  • firmware and software updates.

Purchase of a software license grants the Client a non-exclusive, non-transferable, and non-assignable right to use the software under the terms of the manufacturer’s End User License Agreement (EULA). The Client undertakes to comply with the EULA applicable to each software.

Digital mapping: digital navigation charts are provided with a single-use activation code. Once the code is activated, the chart is linked to the Client’s equipment and cannot be transferred, refunded, or exchanged.

17.2. Subscriptions

Certain Digital Products are marketed as subscriptions (hereinafter « Subscriptions »). The specific conditions for each Subscription (duration, price, renewal and cancellation terms) are specified on the product page on the Site and/or in the software publisher’s specific conditions.

Unless otherwise stated:

  • Subscriptions are for the duration indicated on the product page;
  • the Client is informed by email before each renewal;
  • the Client may cancel their Subscription in accordance with the software publisher’s conditions and applicable legal provisions.

For Consumer Clients, in accordance with Articles L215-1 and L215-3 of the French Consumer Code:

  • the terms and conditions of renewal and cancellation of the Subscription are communicated clearly and understandably on the product page and in the confirmation email;
  • SKYSAT or the software publisher informs the Consumer Client, at the earliest three months and at the latest one month before the renewal date, of the possibility of not renewing the Subscription;
  • after the initial commitment period, the Consumer Client may cancel their Subscription at any time, subject to compliance with a reasonable notice period in accordance with the software publisher’s conditions. Cancellation takes effect at the end of the current period;
  • in the event of cancellation, the Consumer Client retains access to the service until the end of the paid period. No refund is due for the current period, unless otherwise specified by the publisher.

17.3. Provision of Digital Products and waiver of the right of withdrawal

For Digital Products supplied on an intangible medium, the Consumer Client who wishes to access the digital content immediately is informed that execution begins before the withdrawal period expires. By validating their Order, the Consumer Client expressly acknowledges:

  • that they have requested immediate execution of the contract;
  • that they waive their right of withdrawal as soon as execution has begun (download completed, activation code used, service access opened).

ARTICLE 18 — PROMOTIONAL OFFERS, DISCOUNT CODES, AND GIFT CARDS

18.1. Promotional codes and discounts

SKYSAT may offer promotional offers, discount codes, or vouchers. Unless otherwise stated:

  • promotional codes are for single use, personal, and non-cumulative;
  • they are valid for the duration indicated and cannot be used after expiration;
  • they are neither exchangeable nor refundable in cash;
  • SKYSAT reserves the right to limit their use to certain product categories or a minimum order amount.

Any fraudulent, abusive, or non-compliant use of a promotional code may result in its cancellation and, if applicable, cancellation of the Order in question.

18.2. Gift cards

SKYSAT may sell gift cards redeemable on the Site. Gift cards:

  • are valid for the duration indicated at the time of purchase;
  • are neither taken back, exchanged, nor refunded (except as required by law);
  • may be used in one or more transactions, up to the available balance;
  • do not constitute a payment method within the meaning of the Payment Services Directive.

In the event of loss or theft of a gift card, it will neither be replaced nor refunded.

18.3. Loyalty program

SKYSAT reserves the right to implement a loyalty program, the terms of which will be communicated to Clients on the Site. Benefits granted under a loyalty program are personal, non-transferable, and subject to the specific conditions of the program in force at the time of acquisition.


ARTICLE 19 — CUSTOMER REVIEWS

19.1. SKYSAT uses the JudgeMe platform to collect and publish customer reviews on the Site. Reviews are requested from Clients who have actually purchased a product.

19.2. Each published review reflects the personal opinion of its author. SKYSAT does not modify the content of reviews but reserves the right not to publish or to delete any review that is contrary to applicable laws, defamatory, abusive, discriminatory, or manifestly unrelated to the product reviewed.

19.3. Collection, processing, and publication of reviews comply with the provisions of the French Consumer Code on commercial practices and online reviews (Articles L111-7-2 and D111-16 to D111-19 of the French Consumer Code).


ARTICLE 20 — INTELLECTUAL PROPERTY

SKYSAT is the exclusive owner of pre-existing or created intellectual property rights in the course of performing Services and on the Equipment. The Client acquires no right of ownership or other rights over said intellectual property rights. Studies, plans, drawings, documents, catalogs, technical notes, diagrams, and other materials issued or sent by SKYSAT remain its exclusive property; they may not be communicated to third parties for any reason by the Client, except with SKYSAT’s express written consent.

The content of the Site (texts, images, graphics, logos, icons, sounds, software, etc.) is the exclusive property of SKYSAT or its partners and is protected by French and international intellectual property laws. Any reproduction, representation, modification, publication, or adaptation of all or part of the elements of the Site, regardless of the means or method used, is prohibited without SKYSAT’s prior written authorization.


ARTICLE 21 — CONFIDENTIALITY

Any information of any kind exchanged between SKYSAT and the Client is strictly confidential, unless it is demonstrated that it was already in the public domain.

Any disclosure by the Client to third parties of confidential information and/or SKYSAT’s intellectual property rights without its express consent will engage the Client’s liability.

Orders on Quote: Disclosure will result in the Client paying SKYSAT compensation for damages that cannot be less than twice (2) the amount of the Quote.

Online Orders: Disclosure will result in damages determined according to the actual prejudice suffered by SKYSAT.


ARTICLE 22 — PERSONAL DATA PROTECTION

22.1. Data controller

The data controller for personal data collected under these GTC and the use of the Site is:

22.2. Data collected and purposes

SKYSAT collects and processes the Client’s personal data for the following purposes:

  • Contract execution: processing the Order, delivery, invoicing, customer account management, after-sales service;
  • Legitimate interest: improving services, fraud prevention, customer relationship management;
  • Consent: commercial prospecting by email, newsletter, personalized offers;
  • Legal obligation: accounting, tax, and customs obligations.

Data collected includes notably: name, first name, postal address, email address, telephone number, connection data, order history, payment data (processed by payment providers).

22.3. Legal basis for processing

Personal data processing is based on:

  • contract execution (Article 6.1.b of the GDPR);
  • the Client’s consent (Article 6.1.a of the GDPR) for commercial prospecting;
  • SKYSAT’s legitimate interest (Article 6.1.f of the GDPR);
  • compliance with legal obligations (Article 6.1.c of the GDPR).

22.4. Data recipients

Personal data may be communicated to the following subcontractors and partners, strictly to the extent necessary for the purposes described above:

  • Shopify Inc. (Site hosting, order management);
  • Odoo S.A. (ERP, internal management);
  • Shopify Payments / PayPlug / PayPal (payment processing);
  • Oney (installment payment);
  • DHL, France Alliance, Colissimo, Mondial Relay (delivery);
  • JudgeMe (customer reviews);
  • Emailing providers (newsletter and commercial prospecting).

SKYSAT ensures that its subcontractors provide sufficient guarantees regarding the implementation of appropriate technical and organizational measures in accordance with the GDPR.

22.5. Transfer of data outside the EU

Certain subcontractors (notably Shopify Inc., based in Canada) may process data outside the European Union. In this case, SKYSAT ensures that appropriate guarantees are implemented (European Commission adequacy decision, standard contractual clauses, or other mechanisms compliant with the GDPR).

22.6. Retention period

Personal data is retained for the following periods:

  • Client data: for the duration of the contractual relationship, then for 3 (three) years from the last order or last contact for commercial prospecting purposes;
  • Order data: 10 (ten) years from the end of the relevant financial year (legal obligation);
  • Connection data: 1 (one) year in accordance with the law;
  • In the event of exercising the right to object or withdrawing consent for prospecting: deletion within 30 days.

22.7. Rights of data subjects

In accordance with the General Data Protection Regulation (GDPR) and the French Data Protection Act, the Client has the following rights:

  • Right of access: obtain confirmation of data processing and receive a copy;
  • Right of rectification: request correction of inaccurate or incomplete data;
  • Right to erasure (« right to be forgotten »): request deletion of their data under the conditions provided by law;
  • Right to restriction of processing:
  • Right to data portability: receive their data in a structured, commonly used format;
  • Right to object: object to data processing, notably for commercial prospecting;
  • Right to withdraw consent: withdraw consent at any time for processing based on consent;
  • Right to define directives regarding the fate of their data after death.

SKYSAT responds to requests within one (1) month. In the event of a complaint, the Client may lodge a complaint with the French Data Protection Authority (CNIL) — www.cnil.fr.

22.8. Commercial prospecting

With the Client’s consent, SKYSAT may send commercial communications by email (newsletter, promotional offers, news). The Client may withdraw their consent at any time by clicking the unsubscribe link in each email or by contacting SKYSAT.

For Professional Clients, in accordance with Article L34-5 of the French Postal and Electronic Communications Code, SKYSAT may send commercial communications relating to products or services similar to those previously ordered, unless the Client objects.


ARTICLE 23 — COOKIES

The Site uses cookies and similar technologies. The Client is informed of the use of cookies on their first visit to the Site by an information banner and a cookie preferences management module, in accordance with applicable regulations.

The Client may configure their cookie preferences at any time via the cookie management module accessible on the Site. For more information, the Client is invited to consult the Cookie Policy accessible on the Site.

The categories of cookies used are:

  • Strictly necessary cookies: essential for the operation of the Site (cart, session, security) — no consent required;
  • Analytical cookies: audience measurement and Site improvement — consent required;
  • Personalization cookies: adapting content to the Client’s preferences — consent required;
  • Advertising and marketing cookies: targeting advertising and measuring campaign performance — consent required.

ARTICLE 24 — NON-SOLICITATION OF STAFF

The present article applies exclusively to Orders placed on Quote and to Professional Clients.

The Client expressly and irrevocably undertakes not to, directly or indirectly, notably through an intermediary or a company or other entity, solicit, hire, or employ in any capacity any employee, collaborator, current or future, of SKYSAT. This clause applies regardless of the specialization of the employee or collaborator in question, and even if the solicitation is initiated by said employee or collaborator. This clause applies during the performance of the Order and for two years from its completion.


ARTICLE 25 — FORCE MAJEURE

25.1. Neither Party shall be liable for failure to perform or delay in performing any of its obligations if such failure or delay results from a case of force majeure within the meaning of Article 1218 of the French Civil Code.

25.2. The following are considered cases of force majeure, without limitation: natural disasters, fires, floods, storms, epidemics and pandemics, wars, acts of terrorism, riots, general strikes, transport and/or supply blockages, failures or interruptions of telecommunications or energy networks, government decisions or regulations restricting trade, embargoes, economic sanctions, shortages of raw materials or components, cyberattacks, and more generally any irresistible, unforeseeable, and external event affecting the Parties.

25.3. The Party affected by a case of force majeure shall inform the other Party as soon as possible in writing, specifying the nature of the event, its likely duration, and its consequences on the performance of its obligations.

25.4. The performance of the obligations of the affected Party shall be suspended for the duration of the force majeure, without this suspension engaging the affected Party’s liability or giving rise to any compensation.

25.5. If the case of force majeure lasts more than 3 (three) months, either Party may terminate the Order by written notice to the other Party, without compensation on either side. In this case, SKYSAT will refund the Client for amounts paid for undelivered Equipment and unperformed Services, deducting any Services already performed and Equipment already delivered.


ARTICLE 26 — SPECIFIC PROVISIONS FOR PROFESSIONAL CLIENTS

The present article applies exclusively to Professional Clients and prevails, in the event of contradiction, over other provisions of the GTC.

26.1. Capacity

The Professional Client declares they have the legal capacity to enter into these GTC.

26.2. Exclusion of the right of withdrawal

In accordance with Article L221-3 of the French Consumer Code, Professional Clients do not benefit from the right of withdrawal provided for in Article 10 of these GTC, except in exceptional cases provided by law for very small businesses.

26.3. Warranties

Professional Clients benefit from the contractual warranty provided for in Article 12 and the warranty of hidden defects provided for in Articles 1641 and following of the French Civil Code. The legal warranty of conformity provided for in Article 13.1 of these GTC, applicable to Consumer Clients, does not apply to Professional Clients.

26.4. Pro Space and Skysat Pro Program

Professional Clients may request access to Pro Space on the Site. Access to Pro Space is subject to prior validation by SKYSAT and approval of the Client as a Skysat Pro Affiliate (hereinafter « Affiliate »).

Pro Space offers notably:

  • preferential tariffs (VAT-exclusive prices) and volume discounts calculated over a rolling 12 (twelve) month period;
  • access to technical resources (manuals, diagrams, firmwares);
  • unit traceability and purchase history by vessel;
  • real-time information on delivery lead times;
  • visibility on the interactive European map of approved integrators (subject to approval);
  • business referrals by redirecting B2C clients to Affiliates in their geographical area (subject to approval).

Approval conditions: Approval is granted by SKYSAT at its sole discretion, based on technical competence, geographical area, and compatibility with the existing network. Approval is personal and non-transferable.

Revocation: SKYSAT reserves the right to revoke approval and access to Pro Space for any Affiliate at any time and without compensation, in the event of failure to comply with these GTC, behavior prejudicial to SKYSAT’s image, or failure to meet expected quality standards, subject to 30 (thirty) days’ prior written notice. In the event of serious misconduct, revocation may be immediate.

The pricing conditions and benefits of Pro Space are subject to change by SKYSAT at any time. Prices displayed in Pro Space are updated in real time according to the manufacturers’ tariffs. The information and benefits presented in Pro Space are provided for informational purposes and do not constitute a contractual commitment by SKYSAT.

26.5. Specific payment terms

By derogation from Article 5.3, SKYSAT may grant specific payment terms to certain identified Professional Clients, notably payment terms of 30 (thirty) days end of month, subject to prior written agreement. These payment terms are reserved for Professional Clients with a significant purchase history and satisfactory financial standing, and may be revoked by SKYSAT at any time.

26.6. Liability

The limitation and exclusion clauses of liability provided for in Article 12 fully apply to Professional Clients.

26.7. Resale

In the event of resale of Equipment by the Professional Client to their own clients, the Professional Client is solely responsible for complying with their information, warranty, and conformity obligations to their own clients. The Professional Client undertakes not to alter or remove the marking, labels, serial numbers, or identifiers of the Equipment.


ARTICLE 27 — SPECIFIC PROVISIONS FOR CONSUMER CLIENTS

The present article reminds the Consumer Clients of the rights to which they are entitled under the law, in addition to the provisions of these GTC.

27.1. Pre-contractual information

In accordance with Articles L111-1 and following of the French Consumer Code, the Consumer Client receives the following information before concluding the contract:

  • the essential characteristics of the product or service;
  • the price and delivery charges;
  • the terms of payment, delivery, and performance;
  • the existence and terms of exercising the right of withdrawal;
  • the legal warranties (conformity and hidden defects);
  • the contact details of the consumer mediator;
  • the duration of the contract and the terms of cancellation, where applicable.

27.2. Reminder of legal warranties

The Consumer Client benefits from the legal warranties detailed in Article 13 of these GTC, which apply by law and independently of any commercial warranty.

27.3. Clauses deemed unwritten

Any clause of these GTC that is deemed abusive within the meaning of Articles L212-1 and following of the French Consumer Code is deemed unwritten, without affecting the validity of the other clauses.


ARTICLE 28 — CONSUMER MEDIATION

The present article applies exclusively to Consumer Clients.

28.1. In accordance with Articles L611-1 and following and R612-1 and following of the French Consumer Code, any Consumer Client has the right to resort free of charge to a consumer mediator to resolve amicably any dispute with SKYSAT.

28.2. Before contacting the mediator, the Consumer Client must attempt to resolve the dispute directly with SKYSAT by sending a written complaint to customer service:

28.3. If SKYSAT does not provide a satisfactory response within 60 (sixty) days or fails to respond within 2 (two) months, the Consumer Client may contact the consumer mediator designated by SKYSAT:

ARTICLE 29 — PARTIAL NULLITY — INTEGRITY — ASSIGNMENT

29.1. Partial nullity

If any provision of these GTC is declared null or unenforceable by a competent court, this nullity or unenforceability does not affect the validity of the other provisions, which remain fully in force. The Parties will endeavor to replace the annulled provision with a valid provision as close as possible in purpose and effect.

29.2. Integrity

These GTC, supplemented where applicable by the specific conditions of the Quote, constitute the entirety of the agreement between the Parties and cancel and replace any prior agreement, undertaking, negotiation, or document with the same object.

29.3. Non-assignability

The contract resulting from acceptance of these GTC is concluded intuitu personae. The Client may not assign all or part of their rights and obligations under these GTC without SKYSAT’s prior written consent. SKYSAT may freely assign or transfer all or part of its rights and obligations, notably in the event of restructuring, merger, or transfer of activity.

29.4. Tolerance

SKYSAT’s failure to exercise or delay in exercising a right provided for in these GTC does not constitute a waiver of that right.


ARTICLE 30 — APPLICABLE LAW — JURISDICTION

30.1. Applicable law

The contractual relations between the Parties are governed by French law.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) of April 11, 1980 is expressly excluded.

30.2. Jurisdiction — Professional Clients

For Professional Clients, the Commercial Court of the jurisdiction of SKYSAT’s registered office (Lorient) has sole jurisdiction to hear any dispute relating to the formation, interpretation, or performance of these GTC, even in the event of multiple defendants or a call for guarantee.

30.3. Jurisdiction — Consumer Clients

For Consumer Clients, in accordance with Articles R631-3 and following of the French Consumer Code, any dispute may be brought, at the Consumer Client’s choice, before the court of their domicile or the court of SKYSAT’s registered office, in accordance with common law rules.
